Boryszew S A : Appointment of a member of the Supervisory Board of Boryszew S.A.

The Management Board of Boryszew S.A. (The 'Company') informs that on June 15, 2020 the General Meeting of the Company adopted a resolution appointing Mr. Wojciech Kowalczyk to the Supervisory Board.

Information on the education, qualifications and positions held by Mr Wojciech Kowalczyk, along with a description of the professional career:

Mr Wojciech Kowalczyk is a graduate of the Foreign Trade Department of the Main School of Planning and Statistics in Warsaw.
Mr. Wojciech Kowalczyk worked in the years 1995-2001 at Bank Handlowy, then he was the director of the debt market at Merrill Lynch International in London. In 2010 he took the position of the director of Bank Gospodarstwa Krajowego responsible for the sales and financial markets department, in the same year he moved to the position of the vice president of the management board of this institution.
Mr. Wojciech Kowalczyk in the years 2012-2014 was the deputy minister of finance, in 2014 and in 2015 -2016 the deputy minister of the treasury, in the years 2014-2015 the deputy minister of the economy, in 2016-2017 the deputy energy minister.
In the years 2017-2020 Mr. Wojciech Kowalczyk was the Vice President of the Management Board for capital investments of PGE Polska Grupa Energetyczna.

According to the submitted statement, Mr. Wojciech Kowalczyk does not conduct any competitive activity against the Company, nor does he participate in a competitive company as a partner in a civil law partnership, partnership or as a member of the body of a competitive capital company or a member of the body of any competitive legal person, as well as not is entered into the Register of Insolvent Debtors kept pursuant to the provisions of the Act of 20 August 1997 on the National Court Register.
